Hide and Un-hide Panel Based on Check Box and Text Field

I have a form which I need to Hide based on check boxes.  
Basically at the top of the foem I have three questions and the form below. I need the form to show if the answer to the two check boxes are no and the text field is blank.

If the first check box is changed to a yes the panel needs to be hidden, how ever if the second check box is changed to yes and there is information in the text box I need to unhide the panel.
The check boxes are:

Is this a T&M Resource
Has the Resource Been Fully Approved
The Test Box is for an Authorization number

I can get the panel to hide by just adding a formatting conditon T&MResource and ask it to hide the panel.  I am struggling with the rest of the forumla. How do I get it to re-appear based on both check boxes (T&MResource and FullyApproved) changed to yes and information in the AuthNumber. 

Any help is much appriciated.

@slwhite63 ........You need to use nested If statements for your logic.

The rule would look like:

if(equals(CB1,true),if(and(equals(CB2,true),!isNullOrEmpty(TextField)),false,true),false)
